1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nodelabs Software Ltd, a company registered in England and Wales ("Company", "we", "us", or "our").

By accessing or using our artificial intelligence services, software, and website (collectively, the "Services"), you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Services.

Nodelabs Software Ltd provides advanced artificial intelligence solutions including but not limited to:

  • AI-powered software development tools
  • Machine learning model deployment and integration
  • Cognitive computing solutions
  • Predictive analytics services
  • Custom AI application development

3. User Accounts and Registration

To access certain features of our Services, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account

4. Payment Terms

Payment for our Services is processed through Rapyd, our secure payment processing partner. By purchasing our Services, you agree to:

  • Pay all fees or charges to your account based on the fees, charges, and billing terms in effect at the time
  • Provide valid payment information
  • Be responsible for all taxes associated with your use of the Services
  • Accept Rapyd's terms and conditions for payment processing

All payments are non-refundable unless otherwise specified in writing. We reserve the right to change our pricing at any time with 30 days' notice.

5. Intellectual Property Rights

The Services and all content, features, and functionality are owned by Nodelabs Software Ltd and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

6. User Obligations and Prohibited Uses

You agree not to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Attempt to reverse engineer any part of the Services
  • Remove or alter any proprietary notices
  • Use the Services to create competing products or services
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services

7. Data Protection and Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

8. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NODELABS SOFTWARE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nodelabs Software Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which should reasonably survive termination shall survive.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Nodelabs Software Ltd regarding the Services.
